2027 Sol Technology Exhibition Participation Terms

Last updated: 10/28/26

These Participation Terms (“Terms”) govern applications to and participation in the 2027 Sol Technology Exhibition (“Exhibition”), presented by The Sol Foundation (“Sol”) in connection with the Sol Symposium 2027 in Washington, DC.

By submitting an application to the Exhibition, you acknowledge that you have read, understood, and agree to these Terms. If you are submitting on behalf of an organization or team, you represent that you are authorized to do so.

1. Nature and Purpose of the Exhibition

The Sol Technology Exhibition is a curated educational and scientific program intended to introduce emerging technologies relevant to UAP research and related areas of science, engineering, observation, measurement, analysis, aerospace, energy, and other fields of interest to the Sol community.

The Exhibition is not a competition. There will be no ranking of participants, winners, prizes, awards, or other competitive outcome.

The Exhibition is also not an investment offering, grant program, procurement process, accelerator, or promise of funding.

Selection to participate means only that Sol has determined that a submission is appropriate for inclusion in the Symposium program. Selection does not constitute scientific validation, certification, endorsement, investment advice, or any representation regarding the feasibility, reliability, value, commercial potential, or scientific validity of a technology or the claims associated with it.

2. Collaboration With Zee Prime Capital Limited

The Exhibition is being developed in collaboration with Zee Prime Capital Limited. Zee Prime Capital Limited may participate in evaluating applications and advising on the scientific, technical, and commercial relevance of proposed presentations. Sol retains responsibility for the structure, programming, and final selection of Exhibition participants.

For evaluation and program administration, Sol may share application materials and information with Zee Prime Capital Limited and other authorized reviewers. Applicants acknowledge that Zee Prime Capital Limited may also use information obtained through the application process to identify potential investment opportunities for its own consideration. That permitted identification does not confer any ownership interest or intellectual-property rights in applicants’ submissions. Applicants should not submit confidential or proprietary information unless a separate written confidentiality agreement covering the intended recipients has been executed.

Zee Prime Capital Limited may not independently contact an applicant about the application, investment, or a commercial opportunity before the applicant’s Exhibition presentation without Sol’s prior written authorization. After the Exhibition presentation, Zee Prime Capital Limited and other interested parties may seek voluntary meetings with participants. Applicants are under no obligation to meet, share further information, negotiate, or enter into any transaction.

Neither Sol nor Zee Prime Capital Limited receives a referral fee, success fee, commission, carried interest, or other financial incentive from applicant introductions or transactions arising from the Exhibition. Sol does not solicit or negotiate investment or commercial transactions on behalf of applicants. Neither Sol nor the Exhibition is offered as a brokerage, placement, or investment-advisory service; any characterization under applicable law depends on actual conduct, not these Terms alone.

Any diligence, confidentiality agreement, investment, licensing arrangement, partnership, commercial agreement, or other relationship arising from an introduction is solely between the parties involved. Neither Sol nor Zee Prime Capital Limited guarantees any investment, transaction, or other outcome.

3. Eligibility

Applications may be submitted by individuals, research teams, academic groups, nonprofit organizations, companies, startups, or other organizations developing technologies relevant to the Exhibition.

Applicants must:

be at least 18 years old if applying as an individual;

have authority to submit all materials included in the application;

have authority to represent the organization or project identified in the application, where applicable;

comply with applicable laws and regulations; and

comply with these Terms.

Sol may determine eligibility in its discretion.

4. Application Process

Applicants must provide the materials requested in the Exhibition application by the stated deadline. Sol may decline incomplete or late applications.

Sol may request additional information from an applicant, including:

technical descriptions;

supporting research or data;

information regarding the development team;

photographs, diagrams, video, or documentation of prior prototype testing;

interviews with members of the project team;

clarification or substantiation of claims contained in an application; and

information concerning regulatory or public-presentation requirements.

The Exhibition consists of presentations and discussions; live technology demonstrations are not part of the program.

Submission of an application does not guarantee advancement to any subsequent stage of review or selection for the Exhibition. Sol is not obligated to provide individual feedback regarding unsuccessful applications.

5. Review and Selection

Applications may be reviewed by Sol personnel, Zee Prime Capital Limited, and other individuals selected by Sol for their scientific, technical, operational, investment, policy, or other relevant expertise. The information-use terms in Sections 2, 8, 9, and 18 apply to these reviews.

Sol may consider factors including:

relevance to the purpose of the Exhibition and the Sol Symposium;

scientific or technical interest;

originality or differentiation;

maturity and stage of development;

evidence supporting stated capabilities;

potential research or scientific applications;

credibility and experience of the team;

suitability for a public presentation and professional discussion;

clarity and credibility of the proposed presentation; and

the overall balance and composition of the Exhibition program.

These considerations are intended to guide programming decisions and do not constitute a scored competition or objective certification process. Sol retains final discretion over selection and composition of the Exhibition.

6. No Endorsement or Validation

Neither application to nor selection for the Exhibition constitutes endorsement, certification, approval, verification, or validation by Sol, Zee Prime Capital Limited, any reviewer, panelist, sponsor, or Symposium participant.

Exhibition participants may accurately state that they were:

“Selected to present at the 2027 Sol Technology Exhibition.”

Participants may not state or imply that their technology has been:

approved by Sol;

certified by Sol;

validated by Sol;

scientifically verified by Sol;

endorsed by Sol or Zee Prime Capital Limited; or

recommended for investment by Sol,

unless Sol has expressly authorized such a statement in writing.

Sol does not warrant or guarantee the accuracy of claims made by Exhibition participants.

Applicants and participants may not use Sol’s name, logo, or other marks in advertising, investment solicitation, or other commercial promotional materials without Sol’s prior written authorization, except for accurate factual statements of selection or participation that do not imply endorsement.

7. Accuracy of Information

Applicants are responsible for ensuring that information submitted to Sol and presented at the Exhibition is accurate and not knowingly false, deceptive, or misleading.

Applicants must have a reasonable basis for material claims concerning the performance, capabilities, testing, provenance, ownership, or development status of their technology.

Sol may request supporting information and advance copies of public-presentation materials where appropriate. Sol may request revisions to unsupported or misleading claims and may decline or remove a presentation that does not meet reasonable program requirements.

Sol may remove an applicant or participant from consideration if Sol reasonably believes that information submitted is materially inaccurate, misleading, fabricated, or misrepresented.

8. Intellectual Property

Applicants retain ownership of their intellectual property. Submission of an application does not transfer ownership of patents, inventions, copyrights, trademarks, trade secrets, know-how, or other intellectual property to Sol or Zee Prime Capital Limited.

By submitting application materials, applicants grant Sol, Zee Prime Capital Limited, and other persons authorized by Sol to review applications a limited, nonexclusive, royalty-free right to access, store, and reproduce those materials internally as reasonably necessary for reviewing, evaluating, administering, and selecting Exhibition participants. Zee Prime Capital Limited may also use information obtained through the application process to identify potential investment opportunities as stated in Section 2. This permission does not authorize public publication of nonpublic application materials or use of an applicant’s intellectual property to develop or commercialize the applicant’s technology.

Any public presentation and recording rights are described in Section 11. Applicants are responsible for obtaining appropriate intellectual-property protection before submitting or publicly disclosing information.

9. Confidential and Proprietary Information

Applicants should not submit information that they consider confidential, proprietary, or a trade secret. Unless Sol expressly agrees otherwise in a separate written agreement covering the relevant recipients, submission does not create a confidential relationship or nondisclosure obligation for Sol, Zee Prime Capital Limited, or other authorized reviewers.

Application materials may be disclosed to Sol’s authorized reviewers, including Zee Prime Capital Limited, for the purposes described in Sections 2, 5, 8, and 18. Zee Prime Capital Limited may review application information to identify potential investment opportunities, but may not independently contact applicants before their Exhibition presentation except as expressly authorized by Sol under Section 2.

Sol will not itself publish nonpublic application materials as public Exhibition content without the applicant’s separate authorization, except as required by law. This restriction on publication is not a promise that application materials will be treated as confidential. Applicants should submit only information they are comfortable sharing with the authorized reviewers for the stated purposes.

Selected applicants should assume that information included in their public presentation will become publicly available.

10. Classified, Controlled, and Restricted Information

Applicants must not submit, disclose, display, transmit, or present:

classified information;

controlled government information that the applicant is not authorized to disclose;

export-controlled technical information that may not lawfully be disclosed in the applicable setting;

proprietary information belonging to another person or organization without authorization;

information subject to a nondisclosure agreement or other confidentiality obligation;

unlawfully obtained information; or

other material the applicant is legally prohibited from sharing.

Applicants are solely responsible for determining whether information or technology is subject to export controls, government restrictions, contractual obligations, or other disclosure limitations.

Sol may refuse, restrict, or terminate a presentation if concerns arise regarding restricted information.

11. Public Presentation and Recording

The Sol Symposium is a public-facing event and may be photographed, filmed, livestreamed, recorded, excerpted, distributed, or otherwise documented.

By accepting an invitation to participate in the Exhibition, participants grant Sol a nonexclusive, worldwide, royalty-free license to photograph and record their public Exhibition appearance and to use, reproduce, display, distribute, excerpt, and make available their name, likeness, organization name, presentation title, biographical information, and materials expressly approved for their public presentation in connection with:

the Sol Symposium and Sol Technology Exhibition;

Sol’s website, publications, and social media channels;

educational and archival materials; and

future promotion of Sol’s programs.

These permissions do not transfer ownership of the participant’s underlying technology or intellectual property, and do not authorize publication of application-only materials not approved for public presentation. Participants are responsible for ensuring that public presentation materials may lawfully be recorded and distributed. Sol may request presentation materials for advance review.

12. Participant Expenses

Unless Sol agrees otherwise in writing, applicants and selected participants are responsible for their own expenses associated with applying to or participating in the Exhibition, including travel, lodging, staffing, and related costs.

Selection does not create an employment, contractor, partnership, agency, or joint-venture relationship with Sol.

13. Investor and Other Introductions

An objective of the Exhibition is to create opportunities for productive interaction among technologists, scientists, researchers, funders, investors, and other interested parties.

Sol may facilitate introductions or provide opportunities for private conversations following Exhibition presentations. Zee Prime Capital Limited may use application information to identify investment opportunities, subject to its prohibition on independent pre-Exhibition applicant contact described in Section 2.

Sol does not guarantee that any participant will receive:

an investor meeting;

financing;

a grant;

commercial support;

a research partnership;

a licensing opportunity;

further diligence; or

any other relationship or benefit.

Participation in any private meeting is voluntary.

Sol is not responsible for evaluating the suitability of a potential investor, partner, transaction, or relationship.

Participants should obtain their own legal, financial, tax, intellectual-property, and other professional advice before entering into any transaction.

14. Conflicts of Interest

Individuals participating in application review or selection, including representatives of Zee Prime Capital Limited, must disclose to Sol material financial, commercial, professional, or personal relationships with an applicant that could reasonably affect, or appear to affect, their impartiality.

Sol will assess disclosed conflicts and implement appropriate measures, which may include recusal from review, deliberation, or selection. Sol retains final responsibility for selection decisions. Sol may maintain internal records of material disclosures and resulting management decisions.

The existence of a relationship between a reviewer, sponsor, investor, or other Symposium participant and an applicant does not itself create any obligation on the part of Sol.

15. Changes, Withdrawal, and Removal

Sol may modify the format, schedule, presentation length, venue arrangements, review process, panel composition, or other elements of the Exhibition when reasonably necessary.

Applicants may withdraw an application or decline a selection invitation by notifying Sol. Selected participants who withdraw should provide notice as promptly as reasonably practicable. Withdrawal does not undo use or disclosures that occurred in accordance with these Terms before Sol received notice.

Sol may withdraw an invitation to participate or discontinue a participant’s involvement where reasonably necessary because of:

material misrepresentation;

violation of these Terms;

safety or security concerns;

unlawful conduct;

infringement of third-party rights;

failure to meet reasonable participation requirements;

venue restrictions;

circumstances outside Sol’s reasonable control; or

conduct that materially interferes with the Symposium or Exhibition.

16. No Warranty

The Exhibition and related activities are provided on an “as available” basis.

To the extent permitted by applicable law, Sol makes no representation or warranty concerning:

the accuracy or completeness of information supplied by applicants or participants;

the capabilities of any technology;

commercial or investment outcomes;

the availability or suitability of investors or partners;

the outcome of any meeting or introduction; or

the availability of any specific presentation format, service, or opportunity.

17. Limitation of Liability and Indemnification

Participant Responsibility. Applicants and participants are responsible for their own submissions, materials, statements, legal compliance, intellectual property, and decisions regarding participation and dealings with third parties. They are responsible for deciding what information they disclose, including information available to Zee Prime Capital Limited under Sections 2 and 9.

Limitation of Liability. To the fullest extent permitted by applicable law, The Sol Foundation, including its directors, officers, employees, volunteers, representatives, and agents, shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, business opportunities, or anticipated investment, arising from or relating to application, evaluation, selection, non-selection, participation, or voluntary third-party interactions in connection with the Exhibition. Sol makes no guarantee of selection, funding, investment, or commercial opportunity.

Nothing in these Terms excludes or limits liability for fraud, gross negligence, willful misconduct, or any liability that cannot lawfully be excluded or limited. Zee Prime Capital Limited is a separate entity; any agreement or dispute involving its independent investment activities is the responsibility of the parties involved, subject to applicable law.

Indemnification. Each applicant agrees to indemnify and hold harmless The Sol Foundation and its directors, officers, employees, volunteers, representatives, and agents from third-party claims, damages, liabilities, and reasonable legal expenses to the extent directly arising from:

(a) infringement or misappropriation of another person’s intellectual-property or other legal rights through the applicant’s submitted or publicly presented materials;

(b) materially false or misleading representations made by the applicant in connection with submission or participation; or

(c) the applicant’s violation of applicable laws or regulations in connection with submission or participation.

This obligation applies only to the extent the relevant claim arises from the applicant’s acts or omissions and does not extend to losses caused by negligence, misconduct, or unlawful acts of Sol or its representatives.

No Transfer of Intellectual Property. Application or participation does not transfer ownership of intellectual property to Sol or Zee Prime Capital Limited. Any limited permissions are described in Sections 8 and 11.

18. Privacy and Application Information

Sol may collect and use information provided through an Exhibition application to administer and review applications, select participants, communicate with applicants, plan the Symposium, conduct reasonable participation due diligence, and maintain appropriate organizational records.

Sol may share application materials and associated contact information with Zee Prime Capital Limited and other authorized reviewers for evaluation and selection. Applicants acknowledge that Zee Prime Capital Limited may use information obtained through applications to identify possible investment opportunities; however, it must not independently contact applicants before their Exhibition presentation without Sol’s prior written authorization, as stated in Section 2. Such review and identification do not guarantee an investment or other opportunity.

Sol will handle personal information in accordance with its applicable privacy practices. Sol should make its current privacy notice available with the application. Nothing in these Terms requires an applicant to disclose trade secrets or other confidential information.

19. Governing Terms and General Provisions

These Terms, together with the application form and any written participation requirements provided to selected applicants, govern application and participation in the Exhibition. If a selected participant signs a separate written agreement with Sol concerning presentation logistics, recording permissions, confidentiality, or other matters, that agreement supplements these Terms and controls to the extent it expressly states that a conflicting provision is superseded.

If a provision of these Terms is unenforceable, the remaining provisions will continue in effect to the extent permitted by law. Failure by Sol to enforce a provision on one occasion is not a waiver of its right to do so on another occasion.

Sol may update these Terms prospectively. Material changes affecting a submitted application will be communicated to the applicant, and Sol will request renewed acceptance where legally required.

Governing Law. These Terms and any dispute, claim, or controversy arising out of or relating to an application, evaluation, selection, or participation in the Exhibition shall be governed by the laws of the State of California, without regard to its conflict-of-laws principles, except where mandatory provisions of another jurisdiction apply and cannot lawfully be waived. The choice of California law reflects that The Sol Foundation is a California nonprofit corporation. This clause does not displace applicable laws of the District of Columbia governing activities conducted at the Symposium in Washington, DC.

Exclusive Forum and Jurisdiction. To the extent permitted by applicable law, any action or proceeding arising out of or relating to these Terms, an application, evaluation, selection, or participation in the Exhibition shall be brought exclusively in a state court of competent jurisdiction in California or, if federal subject-matter jurisdiction independently exists, in a United States District Court located in California. Each applicant and Sol consents to personal jurisdiction in those courts for such proceedings and waives objections based on inconvenient forum to the extent permitted by law. This clause does not create federal subject-matter jurisdiction, require a court to hear a matter outside its statutory authority, or waive rights that cannot lawfully be waived. The appropriate California county or federal district shall be determined under applicable jurisdiction and venue rules.

Formal Notices. Notices required under these Terms concerning an alleged breach, legal dispute, or other formal legal matter must be in writing. Notices to Sol must be addressed to The Sol Foundation, a California nonprofit corporation, at its correspondence address: 201 Saint Charles Avenue, Ste 114, PMB 178, New Orleans, LA 70170, USA, with a copy by email to [email protected]. This Louisiana address is solely a mailing address and is not a designation of Sol’s principal office, domicile, or registered agent for service of process. Notices to applicants must be sent to the contact information supplied in the application or subsequently updated in writing. Notices by nationally recognized tracked courier or certified or registered mail are effective upon documented delivery or refusal. Formal notices by email are effective when the recipient expressly acknowledges receipt in writing; automated delivery or read receipts alone do not constitute acknowledgment. Ordinary program updates may be sent by email without these formalities. Nothing in this provision replaces or modifies any statutory requirement for service of legal process.

Electronic Acceptance. An applicant may accept these Terms by an affirmative electronic acknowledgment through the application form. To the extent permitted by applicable law, an electronic acceptance has the same legal effect as a handwritten signature. Sol should retain a record of the version of these Terms accepted and the time and manner of acceptance.
